TERMS AND CONDITIONS OF SALES

 01. BL is TELEX release after settlement of the payment. 

02. ADVANCED PAYMENT is NOT refundable. 

03. If the PAYMENT BALANCE (70%) is NOT paid 2 (two) days after “Arrival Notice” is sent to Buyer by e-mail, cargo can be negotiated with another customer without refunding the 30% paid in advance by previous buyer. 

04. In the event a balance is past due, a PENALTY of 10% over the balance will be applied.

05. All TAXES or/and LEVIES imposed by the country of destination are on the buyer’s account and his sole responsibility.

06. Seller and buyer will try to settle all disputes amicably. Either party may serve notice to the other requiring a dispute to be settled within (15) fifteen days, after such notice and if unsettled, both parties agree to refer to an ARBITRATION. 

07. DEMURRAGE at loading port it is on seller’s account, while at the discharging port it is on buyer’s account. Buyer must ensure requested discharge ports are capable of receiving the high volumes of the commodity purchased, in order to prevent excess demurrage or excess delays for the incoming vessel traffic or to impede scheduled deliveries.

Seller will in no way be responsible for discharge port capabilities or facilities necessary by the normal unload operation. 

08. PARTIAL SHIPMENTS shall be allowed without prior written agreement between the Seller and Buyer. 

09. Buyer and Seller elect the Central FORUM of the City of Fort Lauderdale, Florida – USA to resolve any issues, doubts or/and remedy any omissions. 

10. The party that invokes FORCE MAJEURE outside of natural causes, earthquake, storms, fire through (act of God), or declaration of war, civil war, military action, government emergency actions, and strike is obligated to let the other party know about it within a five (5) days period. The party will take all possible measures in order to limit the consequences.
